Governance challenges for public-company executives and their counsel are on the rise early in 2022, with aggressive proxy proposals, proposed Securities and Exchange Commission disclosure mandates, and the ever-present litigation risks converging together. Our panelists will assess the trends in this year’s environmental and social proxy proposals, discuss SEC activity and necessary responses, and offer their experienced take on how those development can drive private securities and consumer-fraud litigation.

Speakers' Biographies

Jurgita Ashley

Jurgita is a partner with Thompson Hine LLP, co-chair of the firm’s Public Companies Group, and co-chair of the firm’s ESG Collaborative. She also currently serves as President of the Ohio Chapter of the Society of Corporate Governance and is a member of the Society’s Corporate Governance and Sustainable Practices Committees. Jurgita focuses her practice on SEC matters and securities offerings, ESG and corporate governance, and shareholder activism. She advises public companies, ranging from Fortune 100 to small- and mid-cap companies, and has overseen capital markets transactions with gross proceeds in excess of billions of dollars. She also works with companies in designing and implementing ESG programs and ESG governance structures.

Brian Valerio

Brian advises public companies - from Fortune 500 to small cap biopharmaceutical companies – on a variety of corporate governance matters including environmental & social (ESG) issues and proxy voting/solicitation. Brian’s practice focuses on governance advisory work, including reviewing clients’ current practices and preparing them for shareholder engagement.
